Meshed Group – Application Software Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between WebSutra Technology Pty Ltd (ABN 86 126 549 308), trading as Meshed Group (“Meshed Group”, “we”, “us” or “our”), and you (“you” or “your”).
By accessing, browsing, or using this website (“Site”) and any demonstration, trial, production or non-production software or applications made available through it (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree, you must not access or use the Site or Services.

1. Scope of These Terms

These Terms apply solely to your access to and use of the Site and any demonstration, trial or application environments made available through it.

Any paid software licences, subscriptions, hosting services, or professional services provided by Meshed Group are governed by separate written agreements, which prevail to the extent of any inconsistency.

2. Prohibited Uses

You must not, without prior written consent from Meshed Group:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, sell, or commercially exploit any content, software, data or materials obtained from the Site
• Use any automated means (including screen scraping or database scraping) to extract data
• Access or attempt to access password-protected, secure, or non-public areas of the Site
• Provide false, misleading or inaccurate information, or impersonate another person or entity
• Interfere with, disrupt, or attempt to compromise the security or integrity of the Site or Services
• Use the Site to monitor, profile, or track students outside lawful educational purposes
• Use the Site in a way that breaches any applicable child safety, privacy, data protection, or education sector laws or policies

Unauthorised access attempts may result in termination of access and legal action.

3. Intellectual Property Rights

All intellectual property rights in the Site and its contents (including software, text, graphics, images, and documentation) are owned by Meshed Group or its licensors.

Nothing in these Terms grants you any licence or right to use any intellectual property except as expressly permitted.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site solely for lawful evaluation and informational purposes in accordance with these Terms.

4. No Unlawful or Prohibited Use

You warrant that you will not use the Site or Services for any unlawful purpose or in breach of these Terms.

Your right to use the Site terminates automatically upon any breach. Meshed Group may suspend or restrict access to the Site immediately if it reasonably suspects misuse, unlawful activity, or risk to students, data, or system security.

5. Use by Educational Institutions

If you are an educational institution, school authority, or education service provider, you confirm that:

• You have lawful authority to upload, enter, or process any information, including personal information of students, staff, or parents
• You have obtained all required consents and comply with applicable child safety, privacy, and education laws

Meshed Group does not knowingly collect personal information directly from children and relies on institutions to ensure compliance.

6. Disclaimer of Warranties

Nothing in these Terms excludes, restricts, or modifies any rights or remedies that cannot be excluded under the Australian Consumer Law or other applicable legislation.

General Disclaimer

• The Site and Services are provided “as is” and “as available”
• Demonstration and trial environments are provided for evaluation purposes only and may be accessed by multiple users
• Demonstration and trial environments may be reset, deleted, monitored, or shared and must not be relied upon for data retention, confidentiality, or availability.
• You should not enter confidential, sensitive, or production data into demonstration environments

Meshed Group makes no warranties that:

• The Site will be uninterrupted, timely, secure, or error-free
• Any errors or defects will be corrected
• Security controls will prevent unauthorised access or data loss

Use of the Site and any downloaded material is at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, Meshed Group and its affiliates are not liable for:

• Any indirect, incidental, special, or consequential loss
• Loss of data, revenue, profits, goodwill, or business opportunity
• Claims by third parties arising from your use of the Site

This applies whether the claim arises in contract, tort, negligence, or otherwise, even if Meshed Group was advised of the possibility of such loss. Where liability cannot be excluded under law, Meshed Group’s liability is limited (at its option) to resupplying the relevant services or the cost of having those services resupplied.

The parties submit to the exclusive jurisdiction of the courts of New South Wales.

Failure by Meshed Group to enforce any right does not constitute a waiver.
Any claim relating to these Terms must be commenced within one (1) year of the cause of action arising, unless prohibited by law. Meshed Group is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, cyber incidents, utility failures, or government actions.
